These Terms of Service ("Terms") constitute a legally binding agreement between you and NovaMind Technologies FZE, a company registered in Ajman, United Arab Emirates ("Company," "we," "us," or "our") concerning your access to and use of the Ignis platform ("Service") at ignisapp.co and any related services, features, content, or applications offered by us.

By accessing or using the Service, you agree that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not access or use the Service.

We reserve the right to make changes to these Terms at any time. We will notify you of any material changes by posting the new Terms on the Service and updating the "Last Updated" date at the top of this page. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

2. Service Description

Ignis is a comprehensive social media management platform that provides tools and features to help individuals and businesses manage their social media presence across multiple platforms. Our Service includes:

  • Content Scheduling: Plan and schedule posts across multiple social media platforms in advance
  • Analytics and Insights: Track performance metrics, engagement data, and audience insights
  • Unified Inbox: Manage messages and comments from all connected platforms in one place
  • Team Collaboration: Work with team members, assign tasks, and manage workflows
  • Automation Tools: Automate routine tasks and optimize posting schedules
  • WhatsApp Integration: Manage WhatsApp Business communications alongside other social platforms
  • AI-Powered Features: Content suggestions, optimization recommendations, and smart scheduling
  • Media Library: Store and organize images, videos, and other media assets

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3. Eligibility and Account Registration

3.1 Age Requirements

By using the Service, you represent and warrant that:

  • You are at least 16 years of age
  • You meet the minimum age requirements of the social media platforms you connect to Ignis (typically 13-16 years, depending on the platform and jurisdiction)
  • If you are under 18, you have obtained parental or guardian consent to use the Service
  • You have the legal capacity to enter into these Terms
  • You are not barred from using the Service under applicable law

3.2 Platform-Specific Age Requirements

When connecting social media accounts to Ignis, you must comply with each platform's age requirements:

  • Meta Platforms (Facebook, Instagram): 13+ (or higher in certain jurisdictions)
  • TikTok: 13+ (18+ for certain features)
  • LinkedIn: 16+ (18+ in some jurisdictions)
  • YouTube: 13+ (or age required by local laws)
  • X (Twitter): 13+
  • WhatsApp Business: 16+ (or higher in certain jurisdictions)

3.3 Account Registration

To use certain features of the Service, you must create an account. When creating an account:

  • You must provide accurate, current, and complete information
  • You must maintain and promptly update your account information
  • You are responsible for maintaining the security of your account credentials
  • You are responsible for all activities that occur under your account
  • You must not share your account credentials with others
  • You must immediately notify us of any unauthorized use of your account

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Social Media Platform Compliance

When using Ignis to manage your social media accounts, you agree to comply with all applicable terms of service, community guidelines, and policies of the connected social media platforms. This includes, but is not limited to:

4.8 API Usage and Rate Limits

You acknowledge that:

  • Ignis operates through official APIs provided by social media platforms
  • API access and functionality may change or be restricted by platform providers
  • Rate limits imposed by platforms may affect Service functionality
  • We are not responsible for changes, disruptions, or limitations imposed by third-party platforms

4.9 Account Authorization

When connecting social media accounts to Ignis:

  • You must have proper authorization to manage the accounts you connect
  • You are responsible for obtaining necessary permissions from account owners
  • You acknowledge that enforcement actions by platforms may result in loss of access
  • We reserve the right to disconnect accounts that violate platform terms or these Terms

5. User Responsibilities and Acceptable Use Policy

5.1 General Obligations

You are solely responsible for:

  • All content you create, upload, post, or publish through the Service
  • All activities that occur under your account
  • Ensuring your use of the Service complies with applicable laws and regulations
  • Maintaining the security and confidentiality of your account credentials
  • Backing up your content and data

5.2 Prohibited Content

You agree not to create, upload, post, or publish content that:

  • Is illegal, fraudulent, or promotes illegal activities
  • Infringes on intellectual property rights or proprietary rights of others
  • Contains hate speech, harassment, or discriminatory content
  • Is defamatory, obscene, pornographic, or sexually explicit
  • Promotes violence, terrorism, or self-harm
  • Contains malware, viruses, or malicious code
  • Violates privacy rights or discloses personal information without consent
  • Is spam, unsolicited communications, or commercial solicitation
  • Impersonates any person or entity or misrepresents your affiliation
  • Contains false or misleading information

5.3 Prohibited Activities

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service, other accounts, or systems
  • Interfere with or disrupt the Service, servers, or networks
  • Use automated systems (bots, scrapers, or scripts) without our express permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove, circumvent, or disable any security features or access restrictions
  • Sell, rent, lease, or otherwise commercialize access to your account
  • Share your account credentials or allow others to access your account
  • Create multiple accounts to evade bans or restrictions
  • Engage in any form of network abuse or denial of service attacks
  • Collect or harvest user information without consent
  • Use the Service to distribute spam or unsolicited communications

5.4 Security Obligations

You must:

  • Use strong, unique passwords for your account
  • Enable two-factor authentication when available
  • Immediately notify us of any security breaches or unauthorized access
  • Not attempt to probe, scan, or test vulnerabilities in the Service
  • Comply with all security requirements and best practices we communicate

5.5 Consequences of Violations

Violations of this Acceptable Use Policy may result in:

  • Removal of content
  • Temporary or permanent suspension of your account
  • Termination of your access to the Service
  • Legal action, including reporting to law enforcement authorities
  • No refunds for any prepaid fees

6. Content and Intellectual Property

6.1 Your Content

You retain all ownership rights to the content you create, upload, or publish through the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, store, display, reproduce, modify, distribute, and process Your Content solely for the purposes of:

  • Providing and operating the Service
  • Publishing Your Content to the social media platforms you designate
  • Improving and developing the Service
  • Complying with legal obligations
  • Enforcing these Terms

6.2 Ignis Intellectual Property

The Service, including its design, features, functionality, software, code, graphics, user interface, and all content (excluding Your Content), is owned by NovaMind Technologies FZE and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

"Ignis," the Ignis logo, and other marks used on the Service are trademarks of NovaMind Technologies FZE. You may not use these trademarks without our prior written consent.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms. You may not:

  • Copy, modify, or create derivative works of any part of the Service
  • Distribute, sell, lease, or sublicense access to the Service
  • Remove or alter any proprietary notices or labels

6.3 Content Responsibility

You represent and warrant that:

  • You own or have obtained all necessary rights, licenses, and permissions for Your Content
  • Your Content does not infringe on any third-party intellectual property rights
  • Your Content complies with these Terms and all applicable laws
  • You have obtained all necessary consents for any personal information included in Your Content

6A. Content Moderation Policy

6A.1 Our Rights

We reserve the right, but have no obligation, to:

  • Monitor, review, or moderate content posted through the Service
  • Remove or refuse to publish any content that violates these Terms
  • Investigate suspected violations of these Terms or applicable laws
  • Take appropriate action against users who violate these Terms
  • Cooperate with law enforcement authorities

6A.2 Enforcement Actions

If we determine that content or conduct violates these Terms, we may:

  • Issue a warning
  • Remove the violating content
  • Temporarily suspend your account
  • Permanently terminate your account
  • Report violations to relevant authorities or platform providers

6A.3 Appeals

If you believe we have removed content or taken action on your account in error, you may appeal by contacting us at support@ignisapp.co within 30 days of the action. We will review your appeal and respond within a reasonable timeframe.

6A.4 No Obligation to Monitor

We are not obligated to monitor or review content posted through the Service. We do not endorse any user content and are not responsible for the accuracy, completeness, appropriateness, or legality of content posted by users.

6B. DMCA and Intellectual Property Protection

6B.1 Copyright Policy

We respect the intellectual property rights of others and expect our users to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law, including the Digital Millennium Copyright Act (DMCA).

6B.2 DMCA Takedown Procedure

If you believe that content posted through the Service infringes your copyright, please provide our Copyright Agent with the following information:

  • A physical or electronic signature of the copyright owner or authorized representative
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the infringing material and information reasonably sufficient to locate it
  • Your contact information (address, telephone number, email address)
  • A statement that you have a good faith belief that use of the material is not authorized
  • A statement that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner

6B.3 Counter-Notification

If you believe that content you posted was removed in error, you may submit a counter-notification containing:

  • Your physical or electronic signature
  • Identification of the material that was removed and its location before removal
  • A statement under penalty of perjury that you have a good faith belief the material was removed in error
  • Your name, address, and telephone number
  • A statement consenting to the jurisdiction of the federal court in your jurisdiction

6B.4 Repeat Infringer Policy

We will terminate the accounts of users who are repeat infringers of intellectual property rights.

If you believe content posted through the Service infringes your trademark rights, please contact us with details of the alleged infringement.

7. Payment and Subscriptions

7.1 Pricing and Plans

Access to certain features of the Service requires a paid subscription. Current subscription plans and pricing are available on our website. We reserve the right to modify pricing with 30 days' notice to existing subscribers. New prices will apply to subsequent billing periods after the notice period.

7.2 Billing and Payment

  • Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan)
  • You authorize us to charge your designated payment method for all applicable fees
  • You must provide current, complete, and accurate billing and payment information
  • You must promptly update your payment information if it changes or expires
  • If payment fails, we may suspend your access to paid features until payment is received
  • All fees are stated in USD unless otherwise specified
  • You are responsible for all applicable taxes, and we will charge tax when required by law

7.3 No Refunds Policy

All fees are non-refundable except as required by law or as explicitly stated in these Terms. We do not provide refunds or credits for:

  • Partial subscription periods
  • Unused subscription time after cancellation
  • Accounts suspended or terminated for violations of these Terms
  • Features you do not use or understand
  • Service downtime or interruptions

We offer a 3-day trial period for new subscribers. If you cancel within 3 days of your initial subscription and have not exceeded reasonable usage limits, you may request a full refund. After the 3-day trial period, all fees are final and non-refundable.

7.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellations take effect at the end of your current billing period. You will continue to have access to paid features until the end of your billing period. No refunds or credits will be issued for the remaining time in your current billing period.

8. Account Termination

8.1 Termination by You

You may terminate your account at any time by:

  • Using the account deletion feature in your account settings
  • Contacting us at support@ignisapp.co

Upon termination, your subscription will be canceled, but you will not receive a refund for any prepaid fees. You should export any content you wish to retain before terminating your account.

8.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Violation of applicable laws or regulations
  • Fraudulent, abusive, or illegal activity
  • Failure to pay applicable fees
  • Prolonged inactivity
  • At your request
  • Discontinuation of the Service
  • For any other reason at our sole discretion

If we terminate your account for a violation of these Terms, you will not be entitled to any refund of prepaid fees.

8.3 Effect of Termination

Upon termination of your account:

  • Your right to access and use the Service will immediately cease
  • We may delete Your Content and account data within 90 days
  • You will no longer be able to access scheduled posts or analytics
  • Connected social media accounts will be disconnected
  • Provisions of these Terms that by their nature should survive termination will continue to apply

8A. Data Portability and Export

8A.1 Right to Data Portability

You have the right to export Your Content and data from the Service at any time. We provide tools and features to facilitate data export.

8A.2 Export Formats

You can export your data in commonly used formats, including:

  • CSV for tabular data (posts, analytics, schedules)
  • JSON for structured data
  • Original media files (images, videos)

8A.3 Export Process

To export your data:

  • Access the export feature in your account settings
  • Select the data you wish to export
  • We will prepare your export and notify you when it is ready for download
  • Export files are available for download for 30 days

8B. Service Level and Availability

8B.1 Service Availability

We strive to provide reliable and consistent access to the Service, but we do not guarantee that:

  • The Service will be available at all times without interruption
  • The Service will be error-free or free from bugs
  • All features will function as expected at all times
  • Data transmission will be secure or free from interception

8B.2 Scheduled Maintenance

We may perform scheduled maintenance that temporarily interrupts access to the Service. We will provide advance notice when possible, but emergency maintenance may be performed without notice.

8B.3 Third-Party API Dependencies

The Service relies on third-party APIs provided by social media platforms. Service functionality may be affected by:

  • Changes to platform APIs
  • Platform outages or downtime
  • Rate limiting or API restrictions imposed by platforms
  • Changes to platform policies or terms

We are not responsible for disruptions caused by third-party platforms or their services.

8B.4 Support Response Times

We provide customer support via email and in-app chat. Response times vary based on:

  • Your subscription plan
  • The complexity of your inquiry
  • Current support volume

We aim to respond to all support requests within 24-48 hours during business days. Critical issues affecting paid subscribers receive priority support.

8C. Export Control and Sanctions Compliance

You represent and warrant that:

  • You are not located in, or a resident of, any country subject to U.S., UAE, or international sanctions or embargoes
  • You are not listed on any government list of prohibited or restricted parties
  • You will not use the Service in violation of any export control or sanctions laws
  • You will not use the Service to facilitate activities prohibited by applicable export control or sanctions laws

We reserve the right to suspend or terminate your access to the Service if we determine, in our sole discretion, that providing the Service to you may violate applicable export control or sanctions laws.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will meet your specific requirements or expectations
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The Service or servers are free from viruses or harmful components
  • Content posted to social media platforms will achieve any particular result

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOVAMIND TECHNOLOGIES FZE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to, use of, or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Loss or corruption of data
  • Deletion, failure to store, or failure to transmit content
  • Errors, mistakes, or inaccuracies in the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

9.3 Indemnification

You agree to defend, indemnify, and hold harmless NovaMind Technologies FZE and its officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your Content
  • Any activity conducted through your account

9.4 Social Media Platform Bans and Suspensions

We are not responsible for:

  • Bans, suspensions, or restrictions imposed by social media platforms on your accounts
  • Loss of access to your social media accounts
  • Removal of content by social media platforms
  • Changes to platform policies or features that affect the Service
  • Platform outages or service interruptions

You acknowledge that using automation tools, including Ignis, may increase the risk of platform enforcement actions. You are solely responsible for ensuring your use of the Service complies with each platform's terms and policies.

9.5 Platform Independence

Ignis is an independent service and is not affiliated with, endorsed by, or sponsored by any social media platform. References to social media platforms are for descriptive purposes only. All trademarks are the property of their respective owners.

10. Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Ajman, without regard to conflict of law principles.

10.2 Informal Dispute Resolution

Before initiating formal dispute resolution proceedings, you agree to first contact us at legal@ignisapp.co to attempt to resolve the dispute informally. We will work with you in good faith to resolve any disputes. If we cannot resolve the dispute within 60 days, either party may pursue formal resolution.

10.3 Arbitration

Any disputes, claims, or controversies arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration in Ajman, United Arab Emirates, in accordance with the arbitration rules of the DIFC-LCIA Arbitration Centre. The arbitration shall be conducted in English.

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

10.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

10.5 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

11. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Post the updated Terms on the Service
  • Notify you via email or through the Service (for material changes)

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.

Changes to pricing or subscription terms will be communicated with at least 30 days' advance notice for existing subscribers.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and NovaMind Technologies FZE regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.

12.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid, illegal, or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision will be deemed severed from these Terms.

12.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

12.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. Any attempted assignment in violation of this provision shall be null and void. We may freely assign, transfer, or delegate these Terms and our rights and obligations hereunder without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

12.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet failures, or failures of third-party services.

12.6 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and NovaMind Technologies FZE. You have no authority to bind us or make commitments on our behalf.

12.7 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly stated herein.
